GENERAL TERMS AND CONDITIONS

1. Purpose

The purpose of these General Conditions (hereinafter, “General Conditions” or “GC”) is to establish the rights and obligations of the parties between Company registered in the State of New York, with its registered office located at 31 E 127th St, 2C, New York, New York 10035, United States (hereinafter, the “Company” or “We”) and any person who has chosen to subscribe to the service (hereinafter, the “Subscriber” or, collectively, the “Subscribers”).

These General Terms and Conditions are intended to define the contractual relationship between the Company and the Subscriber.

Any subscription contracted with the Company implies the express, prior, total and complete acceptance by the Subscriber of these General Conditions, as well as the Personal Data Protection Policy.

The Terms and Conditions, as well as all contractual information mentioned on the Site, are written in Spanish. Online acceptance of these Terms and Conditions is formalized by checking a mandatory box during the subscription process described in Article 4 of the Terms and Conditions.

2. Presentation

We offer our Subscribers, through our website com-privado.com (hereinafter “the Site”), access to a platform that refers to offers for the sale of products, and in particular:

  • Exclusive discounts on a selection of products;

  • The acquisition of credits to purchase the products listed on the Site.

(hereinafter “the Service”).

 

3. Site Access

The Subscriber is solely responsible for the technological means necessary to access the Site and, in particular, must have Internet access and an email address.

The Subscriber is responsible for telecommunications and internet access costs for using the Site.

Access to the Site is possible 24 hours a day, 7 days a week, except in the event of force majeure or maintenance operations.

The Company shall not be held responsible for the Subscriber’s inability to connect to the Internet or access their account

The Website is hosted at Anyfes Digital Almogàvers, 29-31, Les Roquetes, Sant Pere de Ribes 08812 Barcelona, Spain.

The Website is published by the Company and its publishing director is Mr. TURNER.

 

4. Service Subscription

4.1 Eligibility Requirements

By subscribing to the Service, the Subscriber declares that they:

  • Are a natural person;

  • Are not acting for professional purposes;

  • Are of legal age and legally capable under Spanish law;

  • Reside in mainland Spain or provide a delivery address in mainland Spain;

  • Have not previously subscribed through a Welcome Offer that was cancelled before activation.

The Company may verify the accuracy of the information provided and request supporting documents.

The Company may terminate the Subscription in case of false or incomplete information.

4.2 Ways to Subscribe to the Service

The Service may be subscribed to:

  • Directly via the Site; or

  • Through a Welcome Offer subscription form.

The Subscriber must complete all required fields and guarantees that all information provided is accurate and up to date.

The Subscriber is responsible for updating their information.

Once subscribed and payment is confirmed, the Subscriber will receive a confirmation email including order details and withdrawal information.

 

5. Purpose of the Service

5.1 Access to Product Catalog

Subscribers have access to the product catalog and benefit from applicable discounts. Shipping is free for Subscribers.

Access is unlimited during the subscription period.

Non-subscribers may have different shipping costs displayed at checkout.

The subscription fee is charged regardless of usage.

Product availability may vary monthly.

Product images are not contractual.

5.2 Subscription Credits

Subscribers receive “Subscription Credits” equivalent to the amount paid for the subscription, rounded up.

Credits are recorded in the Subscriber account.

Credits can be used at a rate of 1 credit = 1 EUR.

Credits expire 60 days after issuance.

5.3 Welcome Offers and Trial Access

The Company may offer Welcome Offers for new Subscribers.

These include a 72-hour trial access for 1 EUR.

If not cancelled within 72 hours, the subscription automatically continues at:

  • 29.90 EUR per month, or

  • 75 EUR per quarter.

No credits are granted during trial access.

 

6. Service Features

6.1 Duration and Termination

The subscription becomes effective:

  • Immediately upon standard subscription; or

  • After 72 hours in the case of Welcome Offers.

The subscription is automatically renewed monthly or quarterly.

Te Subscriber may cancel at any time via email or cancellation form.

Termination takes effect at the end of the current billing period.

The Company may terminate the Service in case of breach or invalid payment.

6.2 Price and Payment

The subscription costs:

  • 29.90 EUR per month, or

  • 75 EUR per quarter.

Payment is made by bank card with automatic renewal.

Failure to pay may result in suspension or termination.

6.3 Right of Withdrawal

The Subscriber has a 14-day legal withdrawal period.

If exercised, the Subscriber receives a full refund within 14 days.

Withdrawal may be made via:

  • Website form, or

  • Email, or

  • Written notice sent by mail.

7. Product Orders and Deliveries

Orders are confirmed by email.

Delivery is made to the address provided by the Subscriber.

Delivery time is up to 7 days.

If delivery fails, the Company will resend or refund the order.

If not delivered within 30 days, the Subscriber may request cancellation and refund.

8. Personal and Banking Information

The Company collects personal data to manage subscriptions and orders.

Data processing follows the Privacy Policy and GDPR regulations.

Subscribers have rights of access, rectification, deletion, and objection.

Banking data is processed securely by payment providers only.

9. Applicable Law and Jurisdiction

These Terms are governed by Spanish law.

Disputes may be brought before:

  • Competent Spanish courts, or

  • Courts of the Subscriber’s residence.

Invalid clauses do not affect the validity of the rest of the agreement.

10. General Provisions

Communications may be made electronically.

The Subscriber accepts electronic communication as legally valid.

The Company may update these Terms at any time.

If the Subscriber does not accept changes, they may cancel the subscription.

11. Claims and Mediation

The Subscriber is encouraged to first contact customer service to resolve disputes.

If no agreement is reached, the Subscriber may use mediation services or EU online dispute resolution platforms.
