1. Purpose
These General Conditions (hereinafter "General Conditions" or "GC") aim to define the terms and conditions for providing the monthly or quarterly subscription service (hereinafter the "Subscription" or "Service") offered on the website mes-prix.com (hereinafter "the Site"), as well as to define the rights and obligations of the parties in this context.
The Site and the Service are published and operated by the company: DIRECTORS BOOK Ltd. (hereinafter "the Company" or "We"), a company registered in London, whose registered office is located at Flat 14 Gooch House, 13 Malthouse Road, London, United Kingdom, SW11 7AU, and registration number: 9400828

The Service consists of offering the Subscriber, via the Site, access to a platform presenting offers for the sale of products, notably exclusive discounts on a selection of products, free and unlimited shipping for Subscribers, and the acquisition of credits to purchase the products listed on the Site (hereinafter: "the Service")
These General Conditions are written in French and English. In the event of any discrepancy between the two versions, the French version shall prevail, as the Site is intended for consumers residing in mainland France.
These General Conditions are available at any time via a direct link on all pages of the Site.
Any Subscription taken out with the Company implies the express, prior, full and complete acceptance of these General Conditions by the Subscriber, as well as the Personal Data Protection Policy.
1.1 Scope of application of the General Conditions
These GC apply to any Subscription made on the Site. The GC are exclusively applicable to consumers residing in mainland France or providing a delivery address in mainland France. The GC, as well as all contractual information mentioned on the Site, are written in French. Online acceptance of these GC is materialized by a mandatory checkbox during the subscription process described in Article 4.
1.2 Availability and enforceability of the General Conditions
The GC are made available to customers or communicated before the contract is definitively formed. They are made available to consumers on the Site via a hypertext link where they can be directly consulted. The GC are enforceable against the Subscriber who acknowledges, by checking the box provided for this purpose, having read them and accepted them before subscribing. Any Subscription implies the Subscriber's adherence to the GC in force on the day of the order.
1.3 Modification of the General Conditions
These GC may be modified. The Company reserves the right to modify them at any time.
If the Subscriber does not accept the modifications, they may terminate their Subscription under the conditions provided in Article 9.
2. Subscription to the Service
a. Eligibility conditions
By subscribing to the Service, the Subscriber declares:
● being a natural person
● not acting for professional purposes
● having legal age and legal capacity under French law
● residing in mainland France or providing a delivery address in mainland France
The Company may verify the accuracy of the information provided and request supporting documents. The Company may terminate the Subscription in case of false or incomplete information.
b. How to subscribe?
The Service may be subscribed to through a Welcome Offer registration form.
The Subscriber must complete all required fields and guarantees that all information provided is accurate and up to date. The Subscriber is responsible for updating their information
Once the Subscription is made and payment confirmed in accordance with Article 7, the Subscriber receives a confirmation email containing order details and withdrawal information.
3. Description of the offer
3.1 The offer
To subscribe to mes-prix.com, customers must go to the Site www.mes-prix.com.
Mes-Prix offers all its Subscribers the opportunity to discover each month a selection of products with exclusive discounts. The products offered correspond to high-demand products.
WARNING: IF NO PURCHASE IS MADE DURING THE MONTH, THE SUBSCRIBER WILL STILL BE CHARGED THE SUBSCRIPTION.
The Subscriber may place as many orders as they wish throughout the duration of their subscription.
3.2 "Welcome Offers"
Mes-Prix regularly offers "Welcome Offers" as part of its commercial policy. These offers, reserved for new members, allow subscription to the Service while benefiting, on the one hand, from a cash-back refund of €80 for only €1 and, on the other hand, from a discovery access to the website for a duration of 72 hours, at the end of which, and in the absence of cancellation by the Subscriber, the Subscription of €34.90 (or €99 per quarter) will automatically take effect.
How does the mes-prix.com welcome offer work?
When you subscribe to a mes-prix.com subscription, you automatically benefit from a 72-hour discovery period billed at only €1 as well as a welcome offer for an €80 refund. To benefit from this offer, you must purchase the product indicated in the promotional offer, send the invoice to contact@directorsbook.com, and you will receive the refund within 30 days to the PayPal account associated with your email.
Limited offer: you have 30 days to send proof of purchase and benefit from your €80 refund.
At the end of this 72-hour period, and if you have not informed us of your wish to unsubscribe, your subscription will be confirmed and you will be charged (€34.90/month or €99/quarter).
The conditions of the Subscription are stipulated in Article 7 specifying the price and payment terms. As part of this offer, the Service begins 72 hours following confirmation of the Subscription.
4. Access to the Site
Access to the Site is possible 24 hours a day, 7 days a week, except in the event of force majeure or maintenance operations.
The Subscriber is solely responsible for the technological means necessary to access the Site and must, in particular, have Internet access and an email address. They bear the costs of telecommunications and internet access for using the Site.
The Company shall not be held responsible for the Subscriber's inability to connect to the Internet or access their account.
5. Characteristics of the Service and Products
The Subscriber has access to the product catalogue and benefits from applicable discounts throughout the duration of their Subscription, with unlimited access in terms of browsing and orders placed. Shipping is free for Subscribers, with no limit on the number of orders placed; shipping costs displayed at checkout may differ for non-Subscribers.
Product availability may vary from month to month. Photographs and descriptions of Products appearing on the Site are not contractual.
Subscription Credits
The Subscriber receives "Subscription Credits" equivalent to the amount paid for the Subscription, rounded up to the nearest whole number. These credits are recorded in the Subscriber's account and can be used at a rate of 1 credit = €1 to purchase products on the Site. Credits expire 60 days after issuance.
6. Duration of the Service
The Subscription becomes effective upon activation of the Welcome Offer, with the Subscriber immediately benefiting from the advantages reserved for Subscribers. At the end of the 72-hour period provided for in Article 3.2, and unless cancelled by the Subscriber within that period, the first charge for the price of the Subscription is applied. The Subscription is then automatically renewed for successive monthly or quarterly periods depending on the plan chosen by the Subscriber at the time of subscription under Article 7, with the possibility for the Subscriber to cancel at any time, under the conditions provided in Article 9, or to withdraw within 14 days in accordance with Article 10.
7. Price and payment terms
a. Price
The price of the Subscription is €34.90 per month, or €99 per quarter.
b. Payment terms
The Subscriber must provide a valid bank card to subscribe to the Service. The bank card will be automatically charged the corresponding amount each month or quarter until the Subscriber terminates their Subscription.
Banking data is processed securely, solely by payment providers. The Company does not retain any banking details and cannot consult or modify them.
Failure to pay may result in suspension or termination of the Subscription.
8. Orders and deliveries
Orders are confirmed by email. Delivery is made to the address provided by the Subscriber, within a maximum period of 7 days.
If delivery fails, the Company will resend or refund the order.
If delivery is not made within a reasonable time, the Subscriber may request cancellation of the order and a refund.
The Subscriber retains in all cases the possibility of returning the Product to Mes-Prix; to do so, they must contact customer service in order to learn the return procedures and any delivery costs. Refund of this shipment will be made after receipt and verification of the package.
9. Termination of the contract
a. At the Subscriber's initiative
The Subscriber may terminate their Subscription at any time, without having to justify their decision.
Cancellation may be carried out online via the Site mes-prix.com or by making a request to customer service either:

by using the "unsubscribe" link found in the footer of every page of the Site
If the Subscriber unsubscribes while the automatic debit of the Service is in progress or has already been made, they may access the shop and benefit from exclusive discounts until the end of the validity of the current subscription.
b. At the Company's initiative
The Company may terminate the Service in the event of the Subscriber's breach of these General Conditions or invalid payment.
10. Right of withdrawal
In accordance with the provisions of the Consumer Code applicable to distance selling, the Subscriber has a withdrawal period of 14 days from the date of their subscription and/or their order.
The Subscriber must submit their request via the withdrawal form accessible here.
Return costs shall be borne by Us.
The Product must be returned to Mes-Prix in its original packaging.
The Subscriber will be refunded the price of the Service corresponding to the returned Product as soon as possible and at the latest within 14 days following the withdrawal date.
11. Warranties
The Subscriber benefits from the legal warranties of conformity as well as from hidden defects of the item sold as defined in Articles L217-4 to L217-14 of the Consumer Code and Articles 1641 to 1649 of the Civil Code.
If the Subscriber finds that the delivered Product has a lack of conformity or is damaged, they may return it to Mes-Prix according to the procedures described below.
The Subscriber must contact Mes-Prix customer service by email at contact@directorsbook.com, specifying the nature of the defect, lack of conformity, or damage observed.
Mes-Prix will indicate the return procedures. Mes-Prix will carry out the necessary checks and proceed with replacement of the Product.
If replacement of the Product is impossible, Mes-Prix reserves the right to send the Subscriber another Product of equivalent value, with the Subscriber benefiting from the right of withdrawal provided for in Article 10 for this other Product.
The buyer may decide to invoke the warranty against hidden defects of the item sold within the meaning of Article 1641 of the Civil Code. In this case, they may choose between cancellation of the sale or a reduction in the sale price in accordance with Article 1644 of the Civil Code.
12. Liability
The Company undertakes to carry out regular checks to verify the functioning and accessibility of the Site. In this respect, it reserves the right to temporarily interrupt access to its sites for maintenance reasons. Likewise, the Company cannot be held liable for temporary difficulties or impossibilities of access to these sites resulting from circumstances beyond its control, force majeure, or disturbances of the telecommunications network, the Subscriber being informed of the complexity of global networks and the influx of internet users at certain times.
Furthermore, the Company cannot be held liable for non-performance or delay in performance of the contract due to a case of force majeure.
13. Intellectual property
The systems, software, structures, infrastructures, databases, and content (texts, images, visuals, music, logos, trademarks, etc.) operated by the Company as part of the Service are protected by all applicable intellectual property rights. Any disassembly, decompilation, decryption, extraction, reuse, copying, and more generally, any acts of reproduction, representation, distribution, and use of any of these elements, in whole or in part, without authorization from the Company, are strictly prohibited and may give rise to legal proceedings.
14. Personal and banking data
The Company, DIRECTORS BOOK Ltd., is the data controller for personal data collected in connection with the Service.
The Company collects personal data (notably: first name, last name, postal address, email address, phone number, payment data processed by a third-party provider) for the following purposes: managing Subscriptions, processing orders, performing the contract, and, where applicable, marketing purposes with the Subscriber's consent.
The legal basis for this processing is the performance of the Subscription contract and, for marketing purposes, the Subscriber's consent.
Data is retained for the duration of the Subscription, then archived for the period required to comply with legal and accounting obligations, before being deleted or anonymized.
Data may be shared with subcontractors (payment providers, hosting provider, logistics providers) and, where applicable, transferred outside the European Union, notably to the United Kingdom, subject to appropriate safeguards under the GDPR.
In accordance with the GDPR and applicable data protection law, the Subscriber has the right to access, rectify, erase, restrict, object to, and port their personal data, which they may exercise by writing to contact@directorsbook.com. The Subscriber also has the right to lodge a complaint with the French data protection authority (CNIL), 3 Place de Fontenoy, 75007 Paris (www.cnil.fr).
Banking data is processed securely, solely by payment providers; the Company does not retain it and cannot consult or modify it.
15. Prohibited behaviors
The following are strictly prohibited:
(i) any behavior likely to interrupt, suspend, slow down, or prevent continuity of the Service,
(ii) any intrusion or attempted intrusion into the Company's systems,
(iii) any misappropriation of the Site's system resources,
(iv) any action likely to impose a disproportionate load on its infrastructures,
(v) any breach of security and authentication measures,
(vi) any act likely to infringe the financial, commercial, or moral rights and interests of the Company or the users of its Site, and more generally,
(vii) any breach of these general conditions.
In the event of breach of any provision of this paragraph or, more generally, of violations of laws and regulations, the Company reserves the right to take all appropriate measures and to initiate any legal action.
16. Advertising
The Company reserves the right to insert on any page of the Site any advertising or promotional message in a form and under conditions solely determined by the Company. More generally, the Subscriber declares being informed that the Company may broadcast any advertising and promotional content on the Site.
17. Written communications
The Subscriber accepts that communications with the Company will be made primarily by electronic means, and acknowledges that these electronic communications comply with legal requirements that certain communications be made in writing.
18. Applicable law and jurisdiction
With regard to disputes between the Company and the Subscriber concerning the Subscription, the Subscriber is invited to attempt to resolve the dispute amicably before referring the matter to the courts, by contacting the Company's customer service as soon as possible at the following email address: contact@directorsbook.com, or by telephone.
In the event of a dispute relating to a Subscription, the Client must first submit their complaint to customer service in order to seek an amicable solution, either:

These General Conditions are governed by English law, without prejudice to the mandatory consumer protection provisions applicable under French law, from which the Subscriber, as a consumer residing in France, continues to benefit in accordance with Article 6 of Regulation (EC) No 593/2008 ("Rome I").
Disputes may be brought before the competent English courts or the courts of the Subscriber's place of residence, at the Subscriber's choice where permitted by applicable law.
Should any provision of these General Conditions be held invalid or unenforceable under any applicable law or regulation, it shall be deemed unwritten, without affecting the validity of these General Conditions or their other provisions.
Force majeure means any irresistible event, external to the parties, unforeseeable and beyond the parties' control, which cannot be prevented despite all reasonably possible efforts, and which renders performance of all or part of the obligations set out herein impossible.
19. Claims and mediation
The Subscriber is encouraged to first contact customer service at contact@directorsbook.com to resolve any dispute.
If no amicable agreement is reached, the Subscriber may make free use of the consumer mediation service, or use the European Union's online dispute resolution platform, available at: https://ec.europa.eu/consumers/odr.
20. Record-keeping
The company DIRECTORS BOOK LTD, in compliance with applicable legislation, will retain the Personal Data of its prospects only for the period necessary for the proper performance of the contractual engagement, and for one year beyond that at most.
Customers' personal data will be retained in an active database for a maximum of five years after the end of the contractual relationship.
Data collected from data subjects through their newsletter subscriptions with DIRECTORS BOOK LTD. will be retained until the data subject requests to unsubscribe.
